While the Site connects users to decentralized services, applications, and platforms, it is important to note that Nordic Velo Ltd (Seychelles) does not provide or offer any products or services directly. All products and services available through the Site are operated, owned, and provided solely by third-party service providers, not by Nordic Velo Ltd. By using the platforms or applications accessible via the Site, you confirm that you understand and accept this principle and agree to adhere to any terms and conditions required by such third parties.
These paragraphs constitute a "Terms of Service Agreement" (the "Agreement") between you and Nordic Velo Ltd (Seychelles). This Agreement explains the terms and conditions by which you may access and use the Site. You must read this Agreement carefully. By accessing or using the Site, you signify that you have read, understood, and agreed to be bound by this Agreement in its entirety, as well as our Privacy Policy. If you do not agree, you are not authorized to access or use the Site and must refrain from doing so. Additionally, no U.S. persons (as defined below) are permitted to interact with the Site, the LAI token, or any related products or services.
NOTICE: Please read this Agreement carefully as it governs your use of the Site. It contains important information, including a mandatory arbitration clause, which affects your rights regarding dispute resolution. The Site is only available to you—and you should only access the Site—if you fully agree to these terms and are not a U.S. person.
It is important to clarify that Nordic Velo Ltd (Seychelles) operates only the LayerAI blockchain and related infrastructure but does not provide or offer any products or services directly through the Site.
We reserve the right, at our sole discretion, to modify this Agreement from time to time. If we make any modifications, we will notify you by updating the date at the top of the Agreement and by maintaining a current version of the Agreement at https://www.layerai.org/legal/terms-and-conditions/. All modifications will be effective when posted, and your continued accessing or use of the Site will serve as confirmation of your acceptance of those modifications. If you do not agree with any modifications to this Agreement, you must immediately stop accessing and using the Site.
We own all intellectual property and other rights in the Site and its contents, including (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. This intellectual property is available under the terms of our copyright licenses. However, we do not own or control the underlying software protocols that govern the operation of digital assets supported on the Site; generally, the underlying protocols are open source, and anyone can use, copy, modify, and distribute them. We assume no responsibility for the operation of the underlying protocols and do not guarantee their functionality, security, or availability. You acknowledge and accept the risk that the underlying software protocols related to any digital asset you store or interact with via the Site may change.
You should be aware that the risk of loss in trading or holding digital assets, including the LAI token, can be substantial. You should carefully consider whether trading or holding digital assets is suitable for you in light of your financial condition. Interaction with the LAI token is expressly prohibited for U.S. persons.
To access or use the Site, you must be able to form a legally binding contract with us. Accordingly, you represent that you are at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), and have the full right, power, and authority to enter into and comply with the terms and conditions of this Agreement on behalf of yourself and any company or legal entity for which you may access or use the Site. You further represent that you are not a U.S. person, defined as any individual who is a citizen or resident of the United States, or any entity organized or incorporated under the laws of the United States or any of its territories, or any person physically located in the United States at the time of accessing the Site. No U.S. persons are permitted to access or use the Site, interact with the LAI token, or engage with any products or services related to LayerAI. Additionally, you represent that you are not (i) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury) or (ii) a citizen, resident, or organized in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions by the United States, except as otherwise prohibited for U.S. persons.
We, our Site, and our third-party partners may experience cyber-attacks, extreme market conditions, or other operational or technical difficulties that could result in the immediate halt or suspension of transactions, either temporarily or permanently. Provided that we have taken reasonable commercial and operational measures to prevent or correct such events in the technical systems we control, we are not and will not be responsible or liable for any loss or damage of any sort incurred by you as a result of such cyber-attacks, operational or technical difficulties, or suspensions of transactions. Withdrawal limits based on amounts and/or frequency may apply from time to time, based on legal, regulatory, AML (anti-money laundering), and/or security considerations. Our policies and procedures may require additional security and/or compliance checks that require additional time to complete.
Use of your account may be subject to any pending litigation, investigation, or government proceeding and/or if we perceive a heightened risk of legal or regulatory non-compliance associated with account activity, including any attempts by U.S. persons to access or use the Site or LAI token. Additionally, you may not take any action that circumvents our controls, such as opening multiple accounts or abusing promotions we may offer from time to time. We may also refuse to complete a transaction you have authorized where there are insufficient funds or digital assets (including LAI tokens) in your account to cover the transaction and (where applicable) associated fees at the time we receive notification of the transaction. If we refuse to complete a transaction, suspend or close your account, or terminate your use of our services in this way—including for reasons related to U.S. person restrictions—we will (unless it would be unlawful for us to do so) provide you with notice of our actions and the reasons for refusal, suspension, or closure, and where appropriate, with the procedure for correcting any factual errors that led to the refusal, suspension, or closure.
When you use the Site, the only information we collect from you is your blockchain wallet address, completed transaction hashes, and the names, symbols, or other blockchain identifiers of the tokens (such as LAI) that you trade or interact with. We do not collect any personal information about you (e.g., your name or other identifiers that can be linked to you). You can review our full privacy policy here. However, we use third-party service providers such as Google Analytics, among others, which may receive or independently obtain your personal information from publicly available sources. We do not control how these third parties handle your data, and you should review their privacy policies to understand how they collect, use, and share your personal information. The LAI token is the native digital asset of the LayerAI ecosystem, with an initial total supply of 3,000,000,000 LAI tokens. You may use LAI tokens to interact with services, applications, or platforms accessible via the Site, as provided by third-party service providers. With the launch of the LayerAI Mainnet, a Layer-2 blockchain solution, Nordic Velo Ltd has introduced mechanisms affecting the token supply to support network operations and ecosystem growth. Upon the Mainnet launch, a one-time pre-mint of 100,000,000 LAI tokens was added to the initial supply, bringing the total supply at Mainnet inception to 3,100,000,000 LAI tokens. Additionally, an inflation mechanism was implemented to mint new LAI tokens as follows: in Year 1, approximately 183.916793506 LAI tokens are minted per block (every 2 seconds), totaling approximately 2,900,000,000 LAI tokens annually; in Year 2, approximately 190.258751903 LAI tokens are minted per block (every 2 seconds), totaling approximately 3,000,000,000 LAI tokens annually. These inflation figures are based on an estimated 15,768,000 blocks per year and are subject to change based on network conditions, governance decisions, or technical adjustments. Nordic Velo Ltd may, at its discretion or through community governance, enable mechanisms for you to earn LAI tokens through participation in the LayerAI ecosystem, such as staking or contributing resources, subject to availability and additional terms that will be communicated at the time of implementation. If staking is enabled, holders of LAI tokens may participate in governance decisions related to the LayerAI blockchain, including but not limited to protocol upgrades, token distribution policies (including inflation adjustments), or ecosystem development initiatives. Governance participation is optional and subject to minimum staking requirements and voting procedures, which will be detailed in separate documentation if applicable. You acknowledge that the value, utility, and availability of LAI tokens may fluctuate due to market conditions, network changes (including the pre-mint and inflation), or third-party actions, and Nordic Velo Ltd is not responsible for any losses arising from such fluctuations or from your participation in token-related activities. THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE AND ANY DIGITAL ASSETS, INCLUDING THE LAI TOKEN, IS AT YOUR SOLE RISK.
Despite any provision of this Agreement, if your jurisdiction has specific disclaimer or liability provisions that conflict with the foregoing, our liability is then limited to the smallest extent possible by law. Specifically, in those jurisdictions where it is not permitted, we do not disclaim liability for (i) death or personal injury caused by the negligence of us or any of our officers, employees, or agents, (ii) fraudulent misrepresentation, or (iii) any liability that it is not lawful to exclude, now or in the future. If you are a resident of a jurisdiction that requires a specific statement regarding release, you waive any similar provision in law, regulation, or code that has the same intent or effect. We are not responsible for the actions, content, information, or data of third parties, and you agree to release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against such third parties. This limitation of liability applies fully to any attempts by U.S. persons to access or use the Site or LAI token in violation of this Agreement. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED $100 USD.
You agree to indemnify, defend, and hold harmless Nordic Velo Ltd, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, violation of this Agreement, or infringement of any third-party rights, including but not limited to attempts by U.S. persons to access or use the Site or LAI token in breach of this Agreement.
We reserve the right, at our sole discretion, to suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason, including but not limited to your breach of this Agreement or suspected violation of the U.S. person restriction. Upon termination, your right to use the Site will immediately cease, and we will not be liable for any losses resulting from such termination.
We shall not be liable for any failure or delay in performing our obligations under this Agreement due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Seychelles, without regard to its conflict of law principles.
Any dispute arising out of or relating to this Agreement, including its formation, interpretation, or breach, shall be resolved exclusively through binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its rules. The arbitration shall take place in Victoria, Seychelles, in the English language, and be conducted by a single arbitrator. You waive any right to participate in a class action lawsuit or class-wide arbitration against us. Judgment on the arbitration award may be entered in any court having jurisdiction. Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction to enforce the U.S. person restriction or protect our intellectual property rights.
You acknowledge that you are solely responsible for ensuring your compliance with all applicable laws, regulations, and taxes in your jurisdiction related to your use of the Site and interaction with digital assets, including the LAI token. Nordic Velo Ltd shall not be liable for any failure on your part to comply with such obligations.
If any provision of this Agreement is found to be invalid, illegal, or unenforceable in any jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect.
This Agreement is provided in English. In the event of any translation into another language, the English version shall prevail in case of any conflict or inconsistency.
This Agreement is intended solely for the benefit of you and Nordic Velo Ltd and does not confer any rights or benefits to any third party, except as expressly stated herein.
These terms constitute the entire agreement between you and us with respect to the subject matter hereof, including the explicit prohibition on U.S. persons interacting with the Site, LAI token, or related products and services. This Agreement supersedes any and all prior or contemporaneous written and oral agreements, communications, and other understandings (if any) relating to the subject matter of the terms.
